Terms of use
1. Parties and acceptance
Rota is a software service provided by EMIRST LLC (8 The Green, Suite 13659, Dover, DE 19901, USA; “we”) that helps businesses manage their order, supplier and shipment processes. By signing up for or using Rota, you accept these terms on behalf of your business and represent that you are authorized to bind it. In these terms, “you” or “merchant” means the business using Rota and the workspace owner, team members and supplier users acting on its behalf. Processing of personal data is described in the Privacy policy.
2. Scope and nature of the service
- Rota is a software tool only. Rota is not a shipping or logistics company, carrier, customs broker, marketplace, seller, payment institution, or a party to or intermediary in the sales relationship between the merchant and its end customers.
- Rota calculates a process plan for orders based on your settings. This plan is a calendar estimate; it is not an actual movement obtained from a carrier.
- AI suggestions in the product editor are generated automatically and may be inaccurate or incomplete. They are not published until you save; you are responsible for checking their accuracy and legal compliance before publishing.
- Rota does not verify the information entered by you or your team (tracking number, status, date, note, etc.). On the Premium plan or higher, shipment events can optionally be retrieved from a third-party carrier data provider (Track123); this data is shown, filtered, as received from the provider and the carrier. The accuracy, completeness or timeliness of this data is not guaranteed, and we are not responsible for interruptions in the provider’s service.
- Statuses, including “Delivered”, are assigned only with your or your team’s confirmation. Information shown on the tracking page is the result of the merchant’s statements and settings; it is not a confirmation by Rota or any carrier.
- You alone are responsible for the accuracy of the statuses, dates and notes shown to your end customers, for your products and shipments, and for your communication with your customers.
3. Your account, team and suppliers
You are responsible to Rota for all actions of your account and of the team members and supplier users you invite to your workspace, even if they are taken without your knowledge. You decide who gets which role and access. You must keep your sign-in details secure, share tracking links only with the relevant end customers, and notify us immediately at info@justrota.com if you suspect unauthorized use of your account. You confirm that you have the necessary legal basis and have given the required notices for the end-customer data you transfer to Rota.
4. Unacceptable use
You may not use Rota, directly or through your team members, suppliers or other people, to:
- Mislead end customers, payment institutions, marketplaces or others; for example, show an order that was not shipped as shipped, or an order that was not delivered as delivered, or enter false dates, statuses or tracking numbers.
- Present tracking pages or any information produced in Rota as a real carrier record or proof of delivery in payment disputes (chargebacks), refund claims, or marketplace or payment institution reviews.
- Impersonate any carrier, brand, institution or person; create fake or imitation tracking pages.
- Commit fraud, phishing, run fake stores, launder money or carry out any other criminal or unlawful activity.
- Manage the sale or shipment of prohibited, counterfeit, imitation, stolen or intellectual-property-infringing products.
- Send unsolicited messages; use tracking links or notes to spread malware, misleading links or unlawful content.
- Gain unauthorized access to others’ accounts, data or systems; collect or process personal data unlawfully.
- Attempt to break, bypass or reverse-engineer the security, quotas or operation of the service; use automated methods that place excessive load on the service.
- Violate applicable consumer, commercial, tax, customs, export control, sanctions or data protection laws.
5. Responsibility arising from misuse
We accept no responsibility for the consequences of Rota being misused by you, your team members, your suppliers or anyone else accessing your account. To the fullest extent permitted by applicable law:
- The merchant who enters, or allows the entry of, any information or content in Rota or shown to end customers through Rota (tracking numbers, statuses, dates, notes, store details, images) is solely responsible for it. We are not obliged to review, verify or monitor this content in advance.
- EMIRST LLC, its managers, employees and service providers cannot be held liable for damages, sanctions, fines, refunds, chargeback losses or reputational losses suffered by end customers, payment institutions, marketplaces, carriers, public authorities or other third parties as a result of misuse of Rota, including the uses listed in section 4.
- Sales, delivery, return, fee and other disputes between merchants and their end customers, suppliers or business partners are solely between those parties. We are not a party, mediator or witness in such disputes and are not obliged to make statements in favor of any party.
- A merchant’s use of Rota does not mean that Rota endorses or guarantees that merchant’s products, shipments, statements or business practices.
- Measures we take or do not take to detect or prevent misuse do not create any obligation or guarantee towards you or third parties.
If you believe Rota is being misused (e.g. you have seen a fake tracking page), please report it to info@justrota.com. We review reports and take the measures we consider appropriate, but we make no commitment as to the outcome of a report.
6. Your indemnification obligation
You agree to cover, and hold harmless EMIRST LLC, its managers, employees and service providers from, any claim, lawsuit, investigation, penalty and damage (including reasonable attorneys’ and court fees) brought by third parties or public authorities due to (a) a breach of these terms, (b) misuse or unlawful use of Rota, (c) content entered in Rota or (d) your relationships with your end customers, suppliers or business partners, by you, your team members, your supplier users or anyone else using your account. We will notify you of such a claim; we reserve the right to conduct the defense ourselves, in which case you will provide the necessary cooperation.
7. Measures we may take in case of breach
- When we reasonably believe these terms have been breached or Rota has been misused, we may, without prior notice, disable the related content or tracking pages, remove team or supplier access, or suspend or close your account or workspace.
- Fees paid, unused periods and additional tracking packs are not refunded for accounts suspended or closed due to a breach.
- Where unlawful activity is suspected, we may retain the related records, respond to lawful requests from competent authorities and, where necessary, notify Shopify, Stripe or other relevant service providers.
- These measures do not affect our right to take legal action and claim compensation for our damages.
8. Shopify
The Shopify connection is also subject to Shopify’s own terms. A store can be connected by installing the Rota app from the Shopify admin or with an install link specific to the store. Changes to or interruptions of Shopify’s service may affect Rota’s Shopify-related features. You are responsible for the accuracy of tracking numbers and fulfillment information written to Shopify through Rota.
9. Plans, payment and cancellation
- A free plan and paid plans are offered. Current prices and plan contents are listed in the pricing section; prices are in US dollars and exclude any applicable taxes.
- Paid plans and tracking quota add-ons are charged through Stripe as prepaid, automatically renewing subscriptions for the period you choose (monthly or yearly); if you installed Rota from your Shopify admin, charges are billed through your Shopify invoice (Shopify Billing). For plan or quota changes, the difference is billed immediately.
- For subscriptions paid through Shopify, paid plans may include a free trial on the first subscription for the period shown on the plan page. Cancellation of these subscriptions takes effect immediately and the unused period is refunded proportionally by Shopify. Uninstalling the app from Shopify also ends the subscription.
- Additional tracking packs are one-time payments; the credits do not expire and are used only when the monthly quota is exhausted.
- You can cancel your subscription from the dashboard at any time; cancellation takes effect at the end of the paid period and you can keep using the service until then. Except where required by applicable law, used periods and one-time packs are not refunded.
- We may change prices; for existing subscriptions we will give at least 30 days’ notice and the new price applies from the next renewal period.
10. Your data
The data you enter or transfer to Rota belongs to you. We process it only to provide the service, ensure security and prevent abuse. When you request closure of your account, your data is deleted within the period stated in the Privacy policy; exporting any data you need before deletion is your responsibility.
11. Changes to or termination of the service
We may improve or change the service. If we discontinue the service entirely, we will give at least 30 days’ notice and refund the paid but unused subscription period proportionally; this refund does not apply to accounts closed for a breach under section 7. To close your account, write to info@justrota.com.
12. Disclaimer of warranties and limitation of liability
Rota is provided “as is” and “as available”. To the extent permitted by applicable law, we make no express or implied warranty that the service will be uninterrupted or error-free, fit for a particular purpose, or that the information shown through the service is accurate. We are not liable for indirect, incidental, special, punitive or consequential damages; loss of profit, revenue, customers, reputation or data; chargeback and refund losses; or the actions of third parties. Our total liability for any claim is limited to the amount you paid us for Rota in the 12 months before the event giving rise to the claim. These limitations do not apply to liabilities that cannot be limited by contract under applicable law (e.g. intent or gross negligence).
13. Governing law and jurisdiction
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The state and federal courts located in the State of Delaware have jurisdiction over disputes arising from these terms. Rights you have under the laws of your country that cannot be waived by contract are not affected.
14. General provisions
If any provision of these terms is held invalid, the validity of the other provisions is not affected; the invalid provision is applied in the closest sense permitted by law. Our failure to exercise a right does not mean we waive it. Sections 4, 5, 6, 7, 12 and 13 survive the closure of your account or the termination of the service.
15. Changes
We may update these terms. We will notify you of significant changes by email or in the dashboard before they take effect; continuing to use the service after a change means you accept the updated terms.
